Terms of Service
Agreement By accessing or using Inbox Grid’s email marketing platform, you agree to these Terms. If you do not agree, do not use the Services. These Terms work together with our Privacy Policy and Refund Policy.
1. Definitions
“Inbox Grid,” “we,” “us” refers to the operator of the Services. “You,” “Customer” means the individual or entity using the Services. “Services” means the Inbox Grid software, website, APIs, and related offerings at inboxgrid.net (and related domains). “Subscriber Data” means data about your end subscribers that you import or collect for email campaigns.
2. Eligibility and accounts
You must be legally able to enter a binding contract. You are responsible for account credentials and all activity under your account. Notify us immediately of unauthorized use. You must provide accurate registration and billing information.
3. The Services
Inbox Grid provides tools to create, send, automate, and analyze email marketing campaigns. Features may vary by plan. We may modify, suspend, or discontinue features with reasonable notice where practicable, except for urgent security or legal reasons.
4. Acceptable use and compliance
You agree to use the Services only in compliance with applicable law, including anti-spam laws (e.g., CAN-SPAM, GDPR where applicable, CASL, and similar regulations). You must:
- Obtain valid consent or another lawful basis before sending marketing email;
- Include accurate sender identification and a working unsubscribe mechanism;
- Honor opt-outs promptly;
- Not send prohibited content (e.g., illegal goods, malware, deceptive subject lines, hate, harassment, or content that violates third-party rights);
- Not use the Services to harvest, purchase, or use scraped or non-permissioned lists;
- Maintain reasonable list hygiene and comply with our deliverability and abuse policies.
We may suspend or terminate accounts that violate these rules or harm deliverability, security, or other customers.
5. Your content and data
You retain ownership of your content and Subscriber Data. You grant us a limited license to host, process, transmit, and display your content solely to provide and improve the Services, prevent abuse, and comply with law. You represent that you have the rights necessary to use Subscriber Data with Inbox Grid.
6. Fees, billing, and taxes
Paid plans are billed according to the pricing presented at checkout or in your account. Fees are exclusive of applicable taxes unless stated otherwise. Payments are processed by third-party providers (such as Stripe or PayPal); their terms and privacy policies also apply. Failed payments may result in suspension of paid features. You authorize us and our payment partners to charge your selected payment method.
7. Trials and plan changes
We may offer free trials. Unless otherwise stated, trials convert to paid subscriptions if you do not cancel before the trial ends. Upgrades and downgrades may take effect at the next billing cycle or immediately as disclosed at purchase.
8. Intellectual property
We and our licensors own the Services, software, branding, and documentation. Except for the limited rights in these Terms, no rights are granted. Feedback you provide may be used without obligation to you.
9. Third-party services
Integrations or links to third-party tools are provided for convenience. We are not responsible for third-party services. Your use of those services is governed by their terms.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, SPECIFIC DELIVERY RATES, OR REVENUE OUTCOMES.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF NO FEES WERE PAID, ONE HUNDRED U.S. DOLLARS (USD $100)). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent allowed by law.
12. Indemnity
You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, your email campaigns, or your violation of these Terms or applicable law.
13. Termination
You may cancel your account according to your plan settings or by contacting support. We may suspend or terminate access for breach, risk, or legal reasons. Upon termination, your right to use the Services ceases. Sections intended to survive (e.g., fees owed, liability limits, indemnity) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in Delaware (or another forum we specify in writing for enterprise customers) shall have exclusive jurisdiction, except where prohibited by law.
If you require a different governing law for your entity, consult legal counsel and update this section before publishing.
15. Changes
We may update these Terms. We will post the new Terms and update the “Last updated” date. Continued use after changes constitutes acceptance of the revised Terms for non-material changes. For material changes, we will provide notice as required by law or reasonable in-product or email notice.
